Effective Date: 1st January 2026
Version 1.0
These Terms and Conditions govern the provision of payroll services by Smart Payroll Service (“we”, “us” or “our”) to our clients (“you” or “the Client”). By engaging our services you agree to these Terms.
We provide payroll services including payroll processing, payslips, Revenue submissions, starter/leaver processing, payroll reports, year-end payroll, pension payroll administration where agreed, and related payroll support. Services are limited to those agreed with the Client.
Smart Payroll Service provides payroll administration services and does not provide legal, employment law, tax or financial advice unless expressly agreed in writing.
The Client must provide accurate and complete payroll and timesheet information, meet agreed deadlines, review payroll reports promptly and notify us immediately of any errors. The Client remains responsible for compliance with employment, tax and payroll legislation.
Payroll information must be received by the agreed deadline. Late information may not be included in the current payroll and may incur additional charges where reprocessing or urgent work is required.
Where agreed, we will submit payroll information to Revenue based on information supplied by the Client. We are not responsible for penalties, interest or liabilities resulting from inaccurate, incomplete or late information supplied by the Client.
Invoices are payable within 2 days of the invoice date unless otherwise agreed in writing and must be paid before Smart Payroll Service commences any work, including employer registration, payroll setup or payroll processing. Any invoice unpaid after the agreed due date, unless an extension has been agreed in writing, may incur a €30 late payment fee. We reserve the right to suspend or refuse to commence or continue services until all outstanding amounts have been paid in full, together with any applicable late payment fees. Reasonable recovery costs may also be charged where permitted by law.
Work outside the agreed service scope, including historical corrections, payroll reruns, urgent requests and additional reporting, may be charged separately.
The Client is responsible for maintaining timely and effective communication and providing all information reasonably requested. Failure to respond to emails, telephone calls or other reasonable requests within a reasonable timeframe may result in Smart Payroll Service suspending or withdrawing its services without liability for any resulting delays, penalties or losses. All fees incurred up to the date of suspension or termination remain payable.
All client and employee information will be treated as confidential except where disclosure is required by law, authorised by the Client or necessary to provide the agreed services.
We process personal data in accordance with applicable Irish data protection legislation including the GDPR. The Client remains responsible for ensuring it has a lawful basis for providing personal data to us.
We exercise reasonable skill and care in providing our services. We are not liable for indirect or consequential losses or losses arising from inaccurate information supplied by the Client, late instructions, third-party failures or events beyond our reasonable control, except where liability cannot lawfully be excluded.
We shall not be liable for delays or failure to perform due to events beyond our reasonable control including utility failures, cyber incidents, system outages, severe weather or Revenue service interruptions.
Either party may terminate the engagement by giving 30 days’ written notice. We may terminate immediately for non-payment, persistent lack of communication, misleading information or where continuing would breach legal or professional obligations. Outstanding fees remain payable.
These Terms constitute the entire agreement unless otherwise agreed in writing.
If any provision is held unenforceable, the remaining provisions shall continue in full force.
Notices may be given by email or in writing using the latest contact details provided by the parties.
These Terms are governed by the laws of the Republic of Ireland and the Irish courts shall have exclusive jurisdiction.
