1. Introduction

These Terms and Conditions govern the provision of payroll services by Smart Payroll Service (“we”, “us” or “our”) to our clients (“you” or “the Client”). By engaging Smart Payroll Service, you agree to these Terms and Conditions.

2. Our Services

Smart Payroll Service provides payroll services to businesses and private household employers in Ireland.

  • Weekly, fortnightly and monthly payroll processing
  • Payslip preparation
  • Revenue payroll submissions
  • Employer registration support
  • Starter and leaver processing
  • Payroll reports
  • Payroll journals
  • Year-end payroll processing
  • Pension payroll administration (where agreed)
  • General payroll support

The services provided will be limited to those agreed with the Client.

3. Client Responsibilities

The Client agrees to provide complete, accurate and up-to-date payroll information by the agreed deadline.

The Client remains legally responsible for complying with all applicable employment, tax, payroll and pension legislation.

Smart Payroll Service is entitled to rely upon the accuracy of information supplied by the Client.

4. Payroll Deadlines

Payroll information must be received by the agreed deadline.

Where information is received late, Smart Payroll Service will make reasonable efforts to process payroll but cannot guarantee completion before the intended payment date.

Late information may be processed in the following payroll period where it cannot reasonably be included in the current payroll.

Additional charges may apply for urgent processing, payroll reruns or corrections resulting from late or incorrect information supplied by the Client.

5. Revenue Submissions

Where agreed, Smart Payroll Service will prepare and submit payroll information to Revenue using the information supplied by the Client.

The Client remains responsible for ensuring all information supplied is accurate and complete.

Smart Payroll Service accepts no responsibility for Revenue interest, penalties or liabilities arising from inaccurate, incomplete or late information supplied by the Client.

6. Fees and Payment

Invoices are payable within 2 days of the invoice date unless otherwise agreed in writing.

Payment must be received before Smart Payroll Service commences any work, including employer registration, payroll setup or payroll processing, unless Smart Payroll Service has agreed otherwise in writing.

Any invoice remaining unpaid after the agreed due date, unless an extension has been agreed in writing by Smart Payroll Service, may incur a €30 late payment fee.

Smart Payroll Service reserves the right to suspend, refuse to commence or withdraw services until all outstanding amounts, including any applicable late payment fees, have been paid in full.

Smart Payroll Service also reserves the right to recover any reasonable costs incurred in collecting overdue amounts where permitted by law.

7. Additional Work

Work outside the agreed service may incur additional charges including payroll reruns, historical corrections, urgent payroll requests, additional reports and Revenue enquiries requiring significant additional work.

8. Client Communication

The Client is responsible for maintaining timely and effective communication with Smart Payroll Service and for providing all information and documentation reasonably requested.

Failure to respond to emails, telephone calls or other reasonable requests within a reasonable timeframe may result in Smart Payroll Service suspending or withdrawing its services without liability for any resulting delays, penalties or losses.

All fees incurred up to the date of suspension or termination shall remain payable.

9. Review of Payroll

The Client is responsible for reviewing payroll reports and notifying Smart Payroll Service promptly of any errors.

Smart Payroll Service shall not be responsible for errors that could reasonably have been identified before payroll was finalised.

10. Confidentiality

Smart Payroll Service treats all Client and employee information as strictly confidential.

Information will only be disclosed where required by law, authorised by the Client or necessary for the provision of payroll services.

11. Data Protection

Smart Payroll Service processes personal data in accordance with applicable Irish data protection legislation, including the General Data Protection Regulation (GDPR).

In most cases, the Client acts as the Data Controller and Smart Payroll Service acts as the Data Processor for payroll processing purposes.

The Client is responsible for ensuring that it has a lawful basis for providing employee personal data to Smart Payroll Service.

12. Limitation of Liability

Smart Payroll Service will exercise reasonable skill, care and diligence in providing its services.

Smart Payroll Service shall not be liable for any indirect or consequential loss, penalties, interest, additional tax or other liabilities arising from inaccurate, incomplete or late information supplied by the Client, delays caused by third parties, Revenue system failures, or circumstances beyond our reasonable control.

Nothing in these Terms and Conditions excludes liability where such liability cannot lawfully be excluded under Irish law.

13. Force Majeure

Smart Payroll Service shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to power failures, internet outages, cyber incidents, illness, severe weather, Revenue or ROS system outages, or third-party service failures.

14. Suspension and Termination

Either party may terminate the engagement by giving 30 days’ written notice.

Smart Payroll Service may suspend or terminate its services immediately where invoices remain unpaid, the Client fails to provide required information, communication has broken down, misleading information has been supplied, or continuing to act would place Smart Payroll Service in breach of legal or professional obligations.

All outstanding fees remain payable following suspension or termination.

15. Entire Agreement

These Terms and Conditions, together with any written quotation, engagement letter or agreed service package, constitute the entire agreement between Smart Payroll Service and the Client unless otherwise agreed in writing.

16. Severability

If any provision of these Terms and Conditions is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Changes to these Terms

Smart Payroll Service reserves the right to amend these Terms and Conditions from time to time to reflect changes in legislation, Revenue practice or business operations.

The latest version will always be available on our website.

18. Notices

Any notice under these Terms and Conditions may be given by email or in writing using the latest contact details provided by either party.

19. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Republic of Ireland.

Any dispute arising from these Terms and Conditions shall be subject to the exclusive jurisdiction of the Irish courts.

4. Payroll Deadlines

Payroll information must be submitted by the agreed deadline.

Late submissions may result in delayed payroll processing or additional charges.

While every effort will be made to accommodate urgent requests, this cannot be guaranteed.

5. Revenue Submissions

Revenue payroll submissions will be made based on the information provided by the Client.

Smart Payroll Service is not responsible for penalties, interest or Revenue actions arising from incorrect or late information supplied by the Client.

6. Fees

Service fees are agreed separately before work begins.

Invoices are payable in accordance with the agreed payment terms.

Late payments may result in suspension of services and may incur additional charges where applicable.

7. Refund Policy

Due to the nature of payroll services, fees are generally non-refundable once work has commenced.

Refunds may be considered only where required by law.

8. Confidentiality

All client information is treated as confidential.

We will only disclose information where legally required or where authorised by the Client.

9. Data Protection

Smart Payroll Service processes personal information in accordance with the UK GDPR, EU GDPR and the Irish Data Protection Act where applicable.

10. Limitation of Liability

We aim to provide accurate payroll services at all times.

However, our liability shall be limited to the amount paid for the affected service except where liability cannot legally be excluded.

We are not liable for indirect or consequential losses.

11. Intellectual Property

All payroll reports, templates and documentation created by Smart Payroll Service remain our intellectual property unless otherwise agreed.

12. Force Majeure

We shall not be liable for delays caused by events beyond our reasonable control, including internet outages, cyber incidents, severe weather, power failures or government system outages.

13. Suspension and Termination

Either party may terminate the engagement by giving reasonable written notice.

We reserve the right to suspend services immediately where invoices remain unpaid or where the Client fails to provide required information.

Outstanding invoices remain payable following termination.

14. Entire Agreement

These Terms & Conditions constitute the entire agreement between Smart Payroll Service and the Client unless otherwise agreed in writing.

15. Severability
