Welcome to Smart Payroll Services (“Smart Payroll”). These Terms and Conditions (“Agreement”) govern your access to and use of our payroll processing, payroll tax, and related payroll services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by this Agreement.
If you are accepting these terms on behalf of a business, you confirm that you have the authority to bind that business to this Agreement. In that case, references to “you” and “your” will mean the business entity.
Smart Payroll will provide payroll processing, payroll tax filing, and other related payroll services as described in your service plan. Additional services may be agreed upon in writing.
You agree to provide accurate and complete information necessary for Smart Payroll to deliver the Service.
You are responsible for reviewing all payroll reports and outputs provided to you.
You must notify Smart Payroll promptly of any errors or discrepancies.
Fees for the Service will be as stated in your service plan or order form.
Payments are due as specified in your invoice.
Late or missed payments may result in suspension or termination of the Service.
This Agreement will remain in effect until terminated by either party.
You may terminate the Service by providing written notice [insert notice period, e.g., 30 days].
Smart Payroll may suspend or terminate the Service if you breach this Agreement.
Both parties agree to maintain the confidentiality of all non-public information shared during the course of this Agreement.
Smart Payroll will make reasonable efforts to provide accurate and timely services.
However, Smart Payroll will not be liable for indirect, incidental, or consequential damages arising from use of the Service.
You agree to indemnify and hold Smart Payroll harmless from any claims, damages, or liabilities resulting from your misuse of the Service or provision of inaccurate information.
This Agreement will be governed by and construed in accordance with the laws of [insert jurisdiction].
This Agreement constitutes the entire understanding between you and Smart Payroll regarding the Service and supersedes any prior agreements.
